These Terms and Conditions (“Terms”) govern your use of Woobie USA Corp’s medical-provider connection service, software platform, and related offerings (collectively, the “Services”) operated by Woobie USA Corp (“Woobie,” “we,” “us,” or “our”).
By creating an account, accessing our websites, or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2.1 What we are
Woobie operates in two parallel capacities:
2.1.1 Connection to independent medical providers. Woobie helps US veterans and active-duty service members connect with independent medical providers who can perform Disability Benefits Questionnaires (DBQs), Independent Medical Opinions (IMOs), and nexus letters. You pay Woobie for this connection service; Woobie is not paid by the providers. The providers we connect you with are independent businesses, not employees or contractors of Woobie.
2.1.2 Software platform (“Woobie App”). Woobie provides software at app.woobie.io and related domains that helps you:
Some features of the Woobie App are free; others require a paid subscription (“Woobie AI”).
2.2 What we are NOT
To set expectations clearly:
You must be at least 18 years old and either an active-duty service member or a veteran of the United States Armed Forces (including National Guard and Reserve components) to use the Services. By using the Services, you represent that you meet these criteria.
4.1 Account creation
Notify us immediately at info@woobie.io if you suspect unauthorized access.
4.2 Your responsibilities for content
You are solely responsible for the accuracy and truthfulness of any information you provide to Woobie or to the VA through our Services. This includes:
Submitting false information to the VA is a federal crime. Woobie does not verify the accuracy of information you submit and is not liable for any consequences of inaccurate submissions.
4.3 Final review before submission
Before any document is faxed to the VA or any consultation is scheduled with a medical provider, you will be given an opportunity to review what is being submitted. By signing and submitting, you confirm that the information is true and accurate to the best of your knowledge.
Several Services use artificial intelligence to generate or extract information (document analysis, Myra chat, personal-statement coaching). AI outputs are imperfect and may contain errors, omissions, or hallucinations. You acknowledge that:
When you pay Woobie to be connected with an independent medical provider:
7.1 Free tier and paid subscription
Many features of the Woobie App are free to use. Certain advanced AI features (unlimited document analysis, Myra chat beyond the free limit, AI personal-statement coaching beyond the free limit) require a paid “Woobie AI” subscription.
Subscription pricing is shown at the point of purchase. We may change pricing for new subscriptions at any time; existing subscribers will be notified of any price change at least 30 days before it takes effect.
7.2 Automatic renewal
Subscriptions renew automatically at the end of each billing period (monthly or annually, depending on the plan you chose) unless cancelled before the renewal date. By subscribing, you authorize Woobie’s payment processor (Stripe) to charge your payment method on the renewal date.
As required by California Business & Professions Code § 17602 (and applicable law in other states):
7.3 Cancellation
You may cancel your subscription at any time from your Profile page or by emailing info@woobie.io. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not pro-rate refunds for partial billing periods after the renewal date has passed.
7.4 Refunds
To request a refund or dispute a charge, contact support@woobie.io within 30 days of the disputed charge.
If you opt in to SMS, you consent to receive automated text messages from Woobie, including:
Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. You must be 18 or older.
Reply STOP to opt out, HELP for help, or contact us at info@woobie.io. We do not share your phone number with third parties for their marketing.
9.1 Our obligations
Woobie respects the confidentiality of your information. We will not disclose your personal information to third parties except as described in our Privacy Policy or with your explicit consent.
9.2 No sale of data
Woobie does not sell, rent, or trade your personal data to third parties for their marketing or any other purpose.
In the event of an unauthorized access or disclosure of your personal information, Woobie will:

You may request permanent deletion of your account and personal data at any time. Upon receiving a verified request:
Files you uploaded are removed from primary cloud storage at the time of deletion request.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WOOBIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING:
TO THE FULLEST EXTENT PERMITTED BY LAW, WOOBIE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID WOOBIE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
IN NO EVENT SHALL WOOBIE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation does not apply where prohibited by law.
You agree to indemnify, defend, and hold harmless Woobie and its officers, employees, and agents from any claim, damages, or expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Services, (b) your violation of these Terms, (c) the accuracy of information you submitted through the Services, or (d) your interactions with independent medical providers.
All content on our websites and within the Woobie App — including software, design, text, graphics, logos, and the “Woobie” name — is the property of Woobie or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you create or upload (personal statements, uploaded documents). You grant Woobie a non-exclusive, royalty-free license to use that content solely as needed to provide the Services to you.
You may stop using the Services and delete your account at any time. We may suspend or terminate your access:
Upon termination, your right to use the Services ceases immediately. Data retention and deletion continue to be governed by Section 11.
We may modify these Terms from time to time. When we do:

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
18.1 Informal resolution first
If you have a dispute with Woobie, you agree to first contact us at support@woobie.io and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any complaint within 30 days.
18.2 Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS in Fresno, California, in accordance with JAMS’s Streamlined Arbitration Rules. Each party will bear its own attorneys’ fees and costs except where the arbitrator awards otherwise.
18.3 Exceptions
The following are not subject to arbitration: (a) small-claims court actions; (b) injunctive or equitable relief sought to protect intellectual property rights; (c) any claim that cannot be arbitrated as a matter of law.
18.4 Class action waiver
You and Woobie agree that any dispute will be brought only in your individual capacity, not as a class member or representative. Class arbitrations and class actions are not permitted.
If the class action waiver is found unenforceable, the remainder of Section 18 remains in effect.
